Another Corporation Thread
This is not about should we or should we not have corporations. Nor is it about the virtues and vices of corporate person hood or limited liability, or the corporate veil. There are other threads for that, be my guest and go find them.
What I would like to find out is the opinion here concerning the following:
If we retain the corporate form of doing business, with all of its current laws, perks and privileges, are there measures we can take that would achieve a satisfactory effect that abolishing them would have?
As an example, since a corporation cannot be put in jail, can we invent a similar effective mechanism to simulate such a punishment?
Could we freeze a corporation's assets, suspend all business activity, and prevent the exchange of any funds into or out of the corporation other than that required for its maintenance such as fees, dues, utility account payments, building maintenance etc. as a substitute for jail time that would be imposed if the corporation were a live flesh and blood man?
(for the duration of the sentence, with such limitations to be lifted at the allotted time. There would of course be no way to shorten the sentence for "good behavior")
Should we also impose a moratorium for the duration of the sentence on all owners of this corporation from owning or operating any other corporation or any other business unless it is in a non-corporate form and they face full liability?
Second, can we impose a "death penalty" on a corporation, such that if the crime were egregious enough, the corporation could be ordered dissolved and perhaps all assets liquidated to cover restitution to victims or victims families?
(with further stipulation, that no owners of the company involved could ever again own any similar type corporation, or possibly any corporation for that matter, but could do business in the same sector in a non-corporate and fully liable form? and maybe even continue to pay restitution to victims or families until their own death?)
Would these measures fill the vacuum that still exists?
Will they correct the imbalance created by the corporate veil?
Will they restore responsibility to business?





















The problem with this type of approach...
Is it is difficult to draw a line between required maintenance and expansionary activity. Any such punishment would both be a nightmare to manage, and almost certainly death for the corporation (which is not necessarily a bad thing).
And of course, the other side of this argument would argue that it would unduly hurt employees.
I understand where you are going with this thread, and I applaud the goal of finding some middle ground between justice and reality... But I am just not sure that there is a functional patch/workaround for this severe of a design flaw.
(p.s. On another note, your comments in the other threads were dead on... You were the clear winner of the debate... :) )
